The ZinkAds Mobile Advertising Network ("Service"), owned and operated by ZinkAds Private Limited ("ZinkAds"), a company incorporated under the laws of India, is provided to you ("Member", "Advertiser", "Publisher") under the Terms and Conditions ("Terms") of this Service Agreement ("Agreement"). ZinkAds reserves the right to change, modify, add, or remove all or part of this Agreement at any time. Continued use of the Service following any posted changes constitutes binding acceptance of those changes.
By registering an account, you confirm that:
(1) You are at least 18 years of age · (2) You will provide accurate and complete account information · (3) You will keep your information up to date. ZinkAds reserves the right to terminate accounts with inaccurate or incomplete information.
1. Definitions
The following key terms are used throughout this Agreement:
Account
An account in which value is stored for use of Services or payment receipt, per this Agreement.
Ad
Any advertisement produced by an Advertiser — text links, banners, videos, interstitials, graphics — served by ZinkAds to Publisher Sites.
Advertiser
A Member who uses the Services as an advertiser to run campaigns.
Publisher
A Member who uses the Services to monetise their Site by displaying Ads.
Site
Any online asset — mobile site, web app, mobile application, or device platform — to which ZinkAds serves Ads.
Impression
Recorded each time a visitor accesses a Site to which an Ad has been served.
CPI
Cost Per Install — a conversion is counted when a visitor clicks an Ad and installs the promoted app.
CPA
Cost Per Action — a conversion is counted when a visitor completes a defined acquisition action.
CPM
Cost Per Mille — charged per 1,000 Ad impressions delivered.
CPC
Cost Per Click — charged each time a visitor clicks an Ad, as tracked by ZinkAds technology.
CPL / CPD / CPS
Cost Per Lead / Download / Sale — conversions counted per respective action completed by a visitor.
Visitor
A unique, individual, human end-user visitor to a Site, as determined by ZinkAds tracking.
2. Fraudulent Activities
⚠️ Zero Tolerance Policy: Publishers found committing fraudulent activities may face non-payment, immediate removal from the network, and/or legal action. ZinkAds has fraud detection mechanisms that identify most forms of fraud within days of initial activity.
Publishers agree to not artificially inflate traffic counts using any program, script, device, bot, or other automated means. The following methods of generating traffic are strictly prohibited and may result in dismissal from the Network:
- Use of unsolicited email or inappropriate postings to promote Sites
- Auto-spawning of browsers or automatic redirecting of users
- Clicking on your own advertisements
- Blind text links or misleading links designed to artificially inflate impressions or clicks
- Excessive page reloading or any other abuse of ZinkAds systems
- Offering any incentive (cash, credits, loyalty points, or rewards) to generate results or leads
ZinkAds reserves the right to require Publishers to provide server log files upon request. Excessive page reloading or system abuse may result in legal action.
3. Payments & Fees
Advertiser Payments
Advertisers shall pre-pay all applicable fees as described on the Site. ZinkAds reserves the right to change its price list and institute new charges at any time, with prior notice sent via email or posted on the Site.
Refund requests must be submitted in writing to ZinkAds. An administration charge of 20% (minimum USD $10) will be applied to each approved refund. Refunds will be made to the original payment method within 30 days of ZinkAds receiving a valid request.
Publisher Payments
- Publishers must submit their Tax ID in their ZinkAds Payment Profile. Payments will not be processed without this information.
- Payout rates depend on the Publisher, traffic quality and demand, and volumes. ZinkAds reserves the right to change Publisher payout rates without advance notice.
- CPC and CPM rates of live campaigns are not fixed or guaranteed — we operate a variable pricing model.
- ZinkAds reserves the right to only pay a Publisher once ZinkAds itself has been paid by the Advertiser or Ad Network.
- Publisher payments are processed automatically each month via bank wire or PayPal, 60 days after the end of the month in which revenue was earned.
- The minimum payout threshold is USD $30. Unpaid earnings roll over to the next pay period.
- Incorrect payment details will result in loss of revenue and/or a USD $100 administration fee, and may lead to account termination.
- Publishers are responsible for all bank or PayPal charges associated with payments.
- ZinkAds will not pay for impressions or clicks deemed invalid or fraudulent by our systems. If payment has already been made for invalid activity, ZinkAds reserves the right to seek reimbursement from future earnings or directly from the Publisher.
4. Intellectual Property
All content, trademarks, service marks, trade names, logos, and other intellectual property displayed on the ZinkAds Site and platform are the property of ZinkAds Private Limited or their respective owners. Nothing in this Agreement grants you any rights to use ZinkAds's intellectual property without express written permission.
Advertisers grant ZinkAds a non-exclusive, worldwide, royalty-free licence to use, reproduce, and display submitted Ad content solely for the purpose of delivering the Services under this Agreement.
5. Confidentiality
"Confidential Information" means information disclosed by one party to the other under this Agreement that is marked as confidential or would reasonably be considered confidential under the circumstances. Confidential Information does not include information that:
- The recipient already knew prior to disclosure
- Becomes public through no fault of the recipient
- Was independently developed by the recipient
- Was lawfully given to the recipient by a third party
Both parties agree to keep Confidential Information secret and not to disclose it to third parties without prior written consent, except as required by law.
6. Termination
ZinkAds may immediately terminate a Member's account and remove it from our servers if, in ZinkAds's sole discretion, the Member is engaged in:
- Illegal activities or sale of illegal or harmful goods/services
- Activities that damage the rights of ZinkAds or others
- Fraudulent traffic generation or click fraud
- Violation of any term of this Agreement
ZinkAds reserves the right to terminate Publisher accounts with no activity during the previous 6 months. Any accrued, unclaimed funds will be annulled at the time of termination. Members may terminate this Agreement at any time by submitting a support ticket.
Note: Any termination for fraudulent activity takes effect immediately with no opportunity to cure. Accrued funds in terminated accounts due to fraud will be annulled without notification.
7. Limitation of Liability
Important: IN NO EVENT SHALL ZINKADS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE — WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE — FOR ANY ECONOMIC LOSSES (INCLUDING LOSS OF REVENUE, PROFITS, CONTRACTS, BUSINESS, OR GOODWILL) OR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE ZINKADS PLATFORM OR SERVICES. This limitation applies even if ZinkAds has been advised of the possibility of such damages. Some jurisdictions do not allow limitation of incidental or consequential damages, so some of the above may not apply to you.
8. Advertiser Responsibilities
Advertisers are solely responsible for all Ad content submitted to ZinkAds for distribution. By submitting Ads, Advertisers represent and warrant that:
- All Ad content complies with applicable laws and regulations
- Ad content does not infringe any third-party intellectual property rights
- Ad content does not contain malware, deceptive content, or prohibited materials
- Landing pages linked from Ads are functional, accurate, and compliant
- All tracking pixels, postbacks, and attribution links are correctly configured
ZinkAds reserves the right to reject or remove any Ad that violates our policies, without obligation to refund spend already incurred.
9. Publisher Responsibilities
Publishers are responsible for ensuring their Sites comply with all applicable laws and ZinkAds policies. Publishers must not:
- Place Ads on Sites containing illegal, harmful, or adult content (unless explicitly approved)
- Misrepresent their Site traffic, audience, or inventory
- Implement any code that interferes with ZinkAds tracking or measurement
- Use ZinkAds Ads in email campaigns without prior written approval
10. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India.
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute informally by notifying the other party in writing and engaging in good-faith negotiations for a period of at least 30 days.
11. Changes to These Terms
ZinkAds reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. For material changes, we will provide notice via email or a prominent notice on our website. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
